Nominating Committee

Committee Charge

The Nominating Committee shall submit to the annual meeting of the Board of Directors nominations for the officers and members. The immediate Past Chair shall serve as chair of the Nominating Committee.

The Nominating Committee is hereby charged with the following duties: 

  • Develop an informational document that advises the Association’s members of the nomination process. The document shall include information concerning the requirements of being a member of the Board of Directors in order to become an Officer and any other pertinent information; 
  • Determine a timeline for the current year's nominations based on the Annual Meeting date; 
  • Disseminate the documentation with deadline dates to the Board Chairs and Vice Chairs (cc to President’s Assistants and Chief of Staffs); 
  • Work with the Executive Board to create a ballot acceptable for use at the current year's Annual Meeting; and 
  • Assist the Chair with the election at the current year's meeting. 

Chair: In accordance with the By-Laws, the Chair of the Nominating Committee shall be the Immediate Past Chair. 

Meetings: Meetings shall take place as necessary and as convened by the Chair in order to meet the deadlines stated in the Charge. 

Quorum: Pursuant to the Association’s By-Laws, a majority of the membership of any committee of the corporation shall constitute a quorum for the transaction of business.  

Minutes: Minutes for each meeting, whether in-person or conference call, shall be taken by the Executive Director, or in her absence, by a member of the Committee. Draft minutes shall be disseminated to the Committee Members within a reasonable timeframe. Minutes of each meeting shall be approved by the Committee Members at the next meeting date. 

Budget: All costs and expenses to be incurred by the Nominating Committee must receive prior approval from the Chair of the Association. Such request shall be put in writing and emailed to the Chair and the Executive Director prior to being expended.
